1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the AutoDuck web application and related services (the "Service") operated by AutoDuck ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms are governed by the laws of the Commonwealth of Australia and the State of New South Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

2. Description of Service

AutoDuck is a web-based audio mixing application that allows users to upload vocal tracks and instrumental files, process them using automated mixing algorithms (including frequency-specific ducking, EQ processing, compression, and loudness normalization), and export the resulting mixed audio in various formats.

3. Account Registration

To use the Service, you must create an account using an email address and password or by signing in through a third-party provider (e.g., Google). You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorised use of your account

You must be at least 16 years old to create an account and use the Service.

4. Your Content & Intellectual Property

Ownership

You retain all ownership rights and copyright in the audio files you upload ("Your Content") and in the mixed output files generated by the Service. We do not claim any intellectual property rights over Your Content.

Licence to Us

By uploading audio files to the Service, you grant us a limited, non-exclusive, worldwide licence to store, process, and transmit Your Content solely for the purpose of providing the mixing service you request. This licence terminates when you delete Your Content or your account.

Your Responsibility

You represent and warrant that you have all necessary rights, licences, and permissions to upload and process the audio files you submit. You must not upload content that:

  • Infringes any third party's copyright, trademark, or other intellectual property rights
  • Contains unlicensed samples, beats, or vocals you do not have permission to use
  • Violates any applicable law or regulation

You are solely responsible for ensuring you have proper clearance for all audio content you upload, including vocals, instrumentals, samples, and beats.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious files, malware, or content designed to exploit or damage the Service
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Use automated tools to scrape, crawl, or overload the Service
  • Circumvent any rate limits, quotas, or security measures
  • Resell, redistribute, or commercially exploit the Service without our written consent

6. Service Availability & Modifications

We strive to maintain the Service's availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

7. Pricing & Payment

The Service is currently offered free of charge. We reserve the right to introduce paid plans or premium features in the future. If we do, we will provide reasonable notice before any charges apply to your account. Existing free features may continue to be offered at no cost.

8. Limitation of Liability

To the maximum extent permitted by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010), the Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

9. Indemnification

You agree to indemnify and hold harmless AutoDuck and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your infringement of any third party's intellectual property or other rights
  • Audio content you upload that violates copyright or other laws

10. Termination

You may terminate your account at any time by deleting it through the Service's settings. We may suspend or terminate your access if you violate these Terms or engage in conduct that we determine is harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will delete your personal information and audio files within 30 days of account deletion, unless retention is required by law.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in accordance with the Australian Privacy Act 1988.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
